Drafting Legal Agreements in Israel

Drafting legal agreements: what should be settled in advance?

A clear agreement describes the parties, the subject of the engagement, their obligations, the consideration and the timetable. The wording must suit the type of transaction, and it is worth deciding in advance what happens if an obligation is not fulfilled. The aim of drafting is to reduce ambiguity, not to settle for a generic template.

Is a contract binding only once it is signed?

Not always. Under Israel’s Contracts (General Part) Law, a contract may be formed by offer and acceptance, and in certain circumstances conduct may also indicate acceptance. At the same time, some transactions require a particular form by law. So the absence of a signature alone should not be relied on as proof that there is no obligation; the circumstances and the applicable law must be examined.

What should you check before approving a draft?

Make sure the wording reflects what was actually agreed, that the terms are understood by the parties, and that payment and delivery dates, changes or cancellation, liability and dispute resolution are addressed as needed. A legal review before an obligation is created can help identify gaps that are not obvious at first reading.

Which agreements need special tailoring?

A sale agreement, a prenuptial agreement, a services agreement and website or app terms of use are designed for different situations. In each case you need to establish the purpose of the engagement, the identity of the parties, the information they are relying on and the relevant risks. A generic text that is not tailored may leave essential questions open.

When should you seek legal advice?

It is advisable to have a draft reviewed before accepting an offer, entering into an obligation or signing, especially when the transaction is complex or has significant consequences. Paz Israel & Co. assists with reviewing drafts, drafting and negotiation according to the circumstances. Contact us to discuss your case.

Frequently asked questions

Is an oral contract valid?

As a rule yes, but its terms are very hard to prove. For certain transactions, such as real estate, the law requires a written document.

What should every agreement include?

The parties’ identity, each side’s obligations, consideration and timetable, liability and indemnity, confidentiality where needed, termination and a dispute resolution mechanism.

Can I use a template from the internet?

A template does not know your deal and is sometimes not suited to Israeli law. It is worth having a lawyer adapt the agreement to the circumstances.

Which agreements does the firm draft?

Founders’ and partnership agreements, service agreements, NDAs, employment agreements, lease agreements and more.
